By accessing or using the PortGuard platform ("Service"), including the website at portguard.tech, the web console at app.portguard.tech, the PortGuard Agent software, and any associated APIs, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.
These Terms apply to all users, including administrators, managed service providers, and end users who interact with the Service through a third party.
PortGuard provides a cloud-based USB device control and management platform for Windows endpoints. The Service includes:
To use the Service, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
You must notify us immediately at support@portguard.tech if you suspect unauthorized access to your account.
You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account.
PortGuard offers a 7-day free trial on all plans. During the trial period, you have full access to all features of your selected plan. No credit card is required to start a trial.
At the end of the trial period, you must subscribe to a paid plan to continue using the Service. If you do not subscribe, your account will be placed in a read-only state and enforcement will be disabled on all endpoints.
PortGuard uses metered, per-device pricing. You are billed monthly based on the number of active devices (machines with the PortGuard Agent installed and connected) during the billing period.
All prices are in US Dollars. Payments are processed through Stripe. You authorize us to charge your payment method on file for all fees incurred.
We reserve the right to change pricing with 30 days advance notice. Price changes will take effect at the start of your next billing cycle after the notice period.
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data.
You retain ownership of all data you submit to the Service. We do not sell, share, or use your data for advertising purposes. We only access your data as necessary to provide and improve the Service.
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.
The PortGuard Agent enforces the last-known policy locally when the cloud connection is unavailable, ensuring endpoint protection continues during outages.
We will make reasonable efforts to provide advance notice of planned maintenance through our status page or email notification.
The Service, including all software, content, design, and documentation, is the property of PortGuard and is protected by applicable intellectual property laws. These Terms do not grant you any ownership rights in the Service.
We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms for the duration of your subscription.
You may cancel your subscription at any time through the web console billing page or by contacting support@portguard.tech. Cancellation takes effect at the end of your current billing period.
We may suspend or terminate your account if you violate these Terms, fail to pay fees when due, or if we reasonably believe your use of the Service poses a security risk.
Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days after termination, during which you may request an export. After 30 days, your data will be permanently deleted.
To the maximum extent permitted by law, PortGuard and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service.
Our total liability for any claims arising under these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
The Service is provided for USB device management purposes. We are not responsible for data loss, security breaches, or other damages resulting from USB devices that bypass the Service due to misconfiguration, software conflicts, or unsupported hardware.
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Service will be error-free, secure, or uninterrupted, or that it will meet your specific requirements. You use the Service at your own risk.
You agree to indemnify, defend, and hold harmless PortGuard from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Service or violation of these Terms.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware. You consent to the personal jurisdiction and venue of such courts.
We may update these Terms from time to time. When we make material changes, we will notify you by email and by posting a notice on our website at least 14 days before the changes take effect.
Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree, you must stop using the Service.
